Terms and Conditions

Rates

Base Management will quote model rates on a per hour, half or full day or other negotiated rate. If job runs 20 minutes or more into the next hour, overtime will be charged at negotiated hourly rate constituting an additional full hour to be charged. Rates are quoted for use in Australia for 12 months only, unless otherwise specified. Please note invoicing will apply for all hours booked irrespective of early wrap times.

Usage

Specific types of usage such as posters, billboards, bus shelters, display cards, dump bins, metrolites, magazine inserts, swing/hang tags, show cards, packaging and social media/internet etc. all require payment of additional fees as negotiated in addition to payment for the model’s shoot time. Some products are also likely to attract payment of higher fees, e.g. underwear, alcohol, hair and beauty products. Different types of usage will be negotiated separately and images taken for one type of usage may not be used for any other type of usage without prior negotiation and payment of an additional fee.

THE WORKING DAY

Normal working hours are between 7am and 6pm, Monday to Saturday, and penalty rates apply outside these hours. For bookings over 8 hours, a guaranteed Day Rate will need to be negotiated at time of booking.

HOLDS / OPTIONS

Holds must be released or confirmed 24 hours (one working day) prior to booking, otherwise other options or definite bookings could take precedence. To confirm job, client must sign and return a booking confirmation sheet provided by Base Management.

EDITORIAL

For regular editorial Artist rates to apply to a booking, the publication must be on sale nationally in Australia through Newsagents or Supermarkets or available by paid subscription. If this criteria is not met then full advertorial rates will apply to the booking.

RUNWAY/CATWALK

Models appearing on runway are paid for their time to model clothes in front of a live audience. Any image taken of models may only be used for the purpose of editorialising the modelled collection for a period of 14 days from the date of the paid engagement. Images may not be used for any other purpose, including (but not limited to) advertising & promotion of any sponsor or third party participant in the event. The full conditions under "copyright" section of these T&C's apply to any images taken during runway bookings.

OVERTIME & PENALTY RATES

Overtime Rates are Time and a Half of the Artist's normal rate before 7am and after 6pm. A special rate is negotiated after 11pm and before 6am. Saturday is at Artist's normal hourly rate. Sundays and Public Holidays are at Time and a Half of the Artist's normal hourly rate.

FINISH TIMES

Where a shoot may finish up to 19 minutes past the hour, no extra hour will be billed. At 20 minutes and over, an extra full hour will be added to the billing at the appropriate rate and for any subsequent hours. The Agency does not charge half hours.

CANCELLATIONS

A cancellation fee of 100% of full fee applies if cancellation made less than 1 full business day prior to commencement of job. If booking is for multiple days, notice of the same number of days must be given in order to cancel without penalty. For example, for a booking of 3 days, 3 business days’ notice must be given otherwise full fee for the entire 3 day job must be paid.

WEATHER HOLD DAYS

  • First cancellation on weather check if weather is bad – no fee
  • Second cancellation – half fee
  • Third cancellation – full fee
  • All cancellations are full fee if the same model is not rebooked.

HAIR / MAKE-UP / REHEARSALS/ FITTINGS/ WARDROBE CHECKS/ RECALLS

Full hourly rate or as negotiated.

TRAVEL TIME

Full hourly rate when outside 10 kilometre radius of city GPO. MEALS Clients are responsible for model’s meals on full day location shoots and all bookings out of the metropolitan area.

PRODUCT EXCLUSIVITY AND RESTRICTIONS

Models’ services are supplied on a non-exclusive basis unless otherwise negotiated by client at time of booking. If a client requires a model to be excluded from performing modelling services relating to competing products or requires product/area exclusivity this will attract higher fees. It is client’s responsibility to check all product bookings with us for conflicts.

COMPLAINTS

Any cause for complaint should be reported to Base Management during the course of the booking or immediately thereafter.

INSURANCE AND TAXATION

Base Management is not the model’s employer but acts as agent for and on behalf of the model. The Australian Taxation Office regards the end user of the model’s services as entering into a contract of employment with the model. Unless otherwise agreed with Base Management, the client is responsible for all taxation obligations associated with each job. Base Management does not carry insurance for the model and it is the client’s responsibility to have and maintain all appropriate insurances for the model.

SUPERANNUATION

In most cases, client is liable to pay superannuation on bookings at the current legislative percentage (including loadings but excluding rollovers).

AGENCY SERVICE FEE

A 15% agency service fee will be charged and is payable on the total model fees for all jobs.

GOODS AND SERVICE TAX

Goods and Services Tax (GST) will be charged at the Government set rate (currently 10%) on the Agency Service Fee.

PAYMENT TERMS

Full payment is required within 30 days of invoice date. A finance charge of 2% per month will be charged on all invoices not paid after 30 days. Base Management reserves the right to turn over client’s unpaid account to a collection agent.

FITTINGS

Fittings will be charged at half the Artist's normal hourly rate for a maximum of' 2 separate fittings. 3rd and subsequent fittings will be charged at the Artist's full normal hourly rate.

SPECIFIC MAINTENANCE REQUESTS

Manicures, Tanning or Additional hair maintenance requests will be charged at half the Artist's normal hourly rate, unless specifically negotiated, as well as the actual cost for the requested Maintenance to reimburse the Artist.

SLEEPWEAR AND UNDERWEAR

Sleepwear is charged at Time and a Half of the Artist's normal hourly rate. Underwear is charged at Double Time of the Artist's normal hourly rate.

TRAVEL RATE

Travel time is charged at the Artist's normal hourly rate. This applies to travel outside a 10km radius of the CBD. Travel Days are charged at half the Artist's negotiated Daily Rate. Road travel on a shoot day may not exceed 5 hrs.

INFLUENCERS & SOCIAL MEDIA POSTS

A booking fee of 20% applies to social media bookings. When GST is added at 10%, the Booking Fee percentage including GST, is 22% of the Total Artist Rate/Fees. Note that if the Artist is working via an ABN, an additional 10% GST is also added to the total talent fee.

Posting for payment: The post shall include all agreed tags and tracking tools, such as the Client's product name or similar. The Client has the right to request certain wording in any paid post, but final wording and image choice remains the right of the account holder. It is agreed that if the product in question is visible or mentioned in the post, and the agreed tags are used then the Talents obligations are met. At no time does creative control or IP for the content belong with the Client.

If the Client has not requested approval, the talent may post after reasonably following instructions and at a time suitable for them.

If the Client has requested approval & a specific date of posting, the post is deemed "on time" in a 24 hour window of that agreed time. The Artist shall not be held accountable for any delays due to the Artist or the Agency waiting for Client approval. Notifications & edits regarding posting times are accepted during normal business hours only.

The Client understands that any previously scheduled posting may take precedence if Client approvals are delayed.

Reporting: The Artist shall when requested, share post result statistics with the Client via the Agency. It is entirely at the discretion of the talent whether to sign on to any third party tracking app or not. It is never a condition of engagement for the Artist to sign to any third party app.

Gifting/ contra: A "gift" is something given voluntarily & without an obligation in return. As such the Agency does not guarantee any posting in return for gifting. Any post that is discussed in return for gifting may be delayed or cancelled entirely in favour of any other paid posting or endorsement.

Cancellation: If a Client cancels a post order after the talent have created the content, full cancellation payment is required.

Other general terms: All relevant Chadwick T&C's supersede any agreement or contract generated by the Client. Any additional contract, terms or T&C’s generated by a Client agreed by the Agency are not valid until full payment is received and made under the Agency’s normal payment terms.

E-COMMERCE SHOOTING

E-Comm shoots are deemed product shots only and does NOTinclude Social Media, Landing Pages, Banner Shots or EDMs [Each to be negotiated separately prior to shoot as this usage is deemed Digital Campaign].

E-Comm rates arc either recognisable or un-recognisable [below nose] and must be advised by the Client prior to shoot.

USAGE AND ADDITIONAL ARTIST FEES

All photography is to be used for the purpose for which it was originally shot as itemised in the Agency Booking Confirmation signed by the Client at time of booking. It is the Client's responsibility to notify the Agency of any intended usage before the commencement of the shoot. Use of the images, by way of (but not restricted to) Advertising, Swing Tags, Posters, Show Cards, Pack Shots, Billboards, Websites, Bus-Sides etc, must be negotiated and duly authorised with the Agency prior to the booking taking place. In general, the confirmed booking and usage fees cover the right to use one image for catalogue for one year from the shoot date, in Australia only, and in accordance with the usage agreed and paid for at the time of the booking. Usage rights are not granted to the Client until payment in full has been received. Any further extension of usage or territory must be immediately notified to and negotiated with the Agency. The Agency reserves the right to refuse the release of images for any use, for any reason, including extensions of existing print and television campaigns. Any image used without written authorisation or prior approval from the Agency will be deemed unauthorised usage and will be subject to legal proceedings.

COPYRIGHT

Ownership of all images of the Artist remains with Artist at all times and any unauthorized use or replication of their image will be an infringement of Australian Copyright Laws. At no time does ownership of any image of the Artist revert to either the photographer or Client and said images can only be used where Usage fees have been agreed and paid to the Artist via the Agency. The photographer is not entitled to use any of the images he/she takes for any use beyond that agreed in the Agency Booking Confirmation accepted by the Client under section "Usage and Additional Artist Fees". The photographer to this extent agrees to restrict use of his/her copyright, and if the Client is not a photographer, the Client is to draw these terms and conditions to the attention of the photographer and to obtain their agreement prior to the commencement of the shoot. Photographers may not use Test Photography for any commercial purpose unless specific arrangements have been made with the Agency in writing. Photo approval for portfolio use by photographer must be attained from the Agency.

EXCLUSIVITY

A special fee will be negotiated when the work is in conjunction with a product, which precludes work for competing products. It is the Client's responsibility to check, at time of booking, whether any conflicting work has been previously done by the Artist. If the Artist advertises a product, he/she is able to work for any competitor in the future unless an exclusion fee is negotiated and received. Any conflict expectation by product or Client prior to the booking must be specifically communicated at casting or prior to confirmation.

PROVISIONAL BOOKINGS

If the Client does not exercise their option to release or confirm a provisional booking, the Agency reserves the right to cancel the provisional booking, allowing any secondary or definite bookings to take precedence,

WEATHER PERMITTING BOOKINGS

It must be specified at the time of the booking the type of weather required. First Cancellation - No Fee. Second Cancellation- 50% of the total Artist Fee for the booking. Third & Subsequent Cancellations - 100% of the total Artist Fee for the booking. A 100% Cancellation Fee will be charged if the same model is not re-booked.

CANCELLATION FEES

On all bookings, if a job is cancelled: With less than Two (2) Working Days’ Notice prior -to the commencement of the booking, a cancellation Fee of 50% of the total Artist Fee for the booking will be charged. With less than One (1) Working Days’ Notice prior to the commencement of the booking, a cancellation Fee of 100% of the total Artist Fee for the booking will be charged. On arrival of Artist at Booking/Job Location, a cancellation Fee of 100% of the total Artist Fee for the booking will be charged. For trips and Bookings for more than three days, if the booking is cancelled within a period equal to or less than the length of the booking a cancellation Fee of 100% of the total Artist Fee for the booking will be charged.

TELEVISION

Commercials and stills are to be negotiated at the time of the booking and are quoted for twelve (12) months on air for release in Australia only. Any time extensions or territories must be negotiated at the time of the booking. No Artist may commence a television booking until the applicable MEAA contract has been completed and signed by the Agency as the Artist's representative. If the first on-air date cannot be specified at the time of signing the contract, it will be deemed to be within 30 days of the shoot. The Agency is under no obligation to extend usage other than that agreed in the contract.

COMPLAINTS & BILLING DISCREPANCIES

Any cause for complaint must be reported to the Agency during the course of the booking.

Any claim or alteration to the negotiated fee must be notified to the Agency within 7 days of the invoice date. No alterations or amendments in invoiced rates will be considered more than 7 days after an invoice is issued. Please Note: The Agency acts solely for and on behalf of our Artist and whilst making every endeavour to provide a satisfactory and efficient service, we cannot be held ultimately responsible for a models conduct on an assignment.

BOOKING FEE

The Booking Fee (sometimes referred to as "Agency Service Fee") is a mandatory charge on all bookings made with the Agency for all Artist and is not a negotiable fee for the purposes of making a booking. Unless otherwise notified by the Agency, the Booking Fee is calculated at 15% (GST exclusive) of the Total Artist Rate for all jobs (including usage fees). When GST is added, at 10%, the Booking Fee percentage, including GST, is 16.5% of the Total Artist Rate/Fees.

PAYMENT

Unless otherwise notified by the Agency, payment is required within 14 days from the date of invoice where an approved credit account has been set up. In all cases the Client booking the Artist will be invoiced and solely responsible for payment unless otherwise agreed to and confirmation given prior to the commencement of the booking. Payment can be made by Electronic Funds Transfer to our bank account (bank details appear on all invoices) or by Credit Card (Visa, Mastercard & American Express). Please note that payments made by Credit Card will incur a fee which is currently 1.6% for Visa and Mastercard and 2% for American Express.

In all other cases prepayment or credit card pre-authorisation is required.

If the Client fails to pay the amounts due, in accordance with these terms and conditions, they will be responsible to pay for all expenses and costs incurred in recovering any outstanding monies, including debt collection fees and Solicitor's costs.

THIRD PARTIES BOOKINGS

Where a booking is made by a third party to bill to the Client and that person is not legally associated with the Client, then the person/business that made the booking will be held liable for any non-payment of a booking by the Client.
